This Affiliate & Introducing Broker Agreement (“Agreement”) is entered into by and between Vanta Trading (“Company,” “Vanta,” “we,” “us,” or “our”) and the individual or entity accepting this Agreement (“Affiliate,” “IB,” “you,” or “your”).
By registering for or participating in the Vanta Trading Affiliate / Introducing Broker Program, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.
1. Purpose
The purpose of this Agreement is to govern Affiliate’s participation in the Vanta Trading Affiliate / Introducing Broker Program, under which Affiliate may promote Vanta Trading and receive compensation for eligible referrals, subject to the terms and conditions set forth herein.
2. Independent Contractor Relationship
Affiliate is an independent contractor. Nothing in this Agreement shall be construed to create any partnership, joint venture, agency, fiduciary, employment, or representative relationship between Affiliate and Vanta Trading.
Affiliate has no authority to bind, obligate, or represent Vanta Trading in any manner.
3. Eligibility and Enrollment
3.1 Eligibility
Affiliate must be at least 18 years of age and legally capable of entering into binding contracts.
3.2 Approval
Vanta Trading reserves the right to approve, reject, suspend, or terminate any Affiliate application at its sole discretion, with or without cause.
4. Affiliate Tiers and Compensation
4.1 Tier Structure
Affiliate compensation is determined by tier. There are two tiers, Affiliate and Partner. Affiliate starts at the Affiliate tier and may also become an Affiliate Coordinator under Section 4.5.
4.2 Affiliate Tier
At the Affiliate tier, Affiliate earns 10% of each referred trader’s first purchase. Repeat purchases are not paid at the Affiliate tier.
4.3 Paid Referral
A paid referral is a unique referred trader who has completed a purchase of more than $0. Signups alone do not count, and purchases by Affiliate do not count. A referral is considered a paid referral only when:
- The referred user completes a valid purchase
- Payment is successfully processed
- No fraud, abuse, or policy violation is detected
4.4 Partner Tier
Affiliate becomes a Partner on the day Affiliate reaches 10 paid referrals (the “upgrade date”). Paid referrals are counted across Affiliate’s whole history, and the count is never reset.
From the upgrade date, a Partner earns 15% of every purchase by its referred traders, including traders referred before the upgrade date and including the purchase that makes the 10th paid referral. Other purchases made before the upgrade date are not paid again.
Partner status is permanent and does not reset, except as an enforcement action under Section 11. A Partner receives direct access to an affiliate manager from the Vanta Trading team.
4.5 Affiliate Coordinator
An Affiliate with at least 10 paid referrals may apply to become an Affiliate Coordinator (“Coordinator”). Applications are reviewed and approved at Vanta Trading’s sole discretion.
A Coordinator brings other affiliates into the Coordinator’s network (“recruits”) and earns an override on sales in that network, as follows:
- The override is 5% of the purchase amount. It is paid on top of the selling affiliate’s commission and is never taken from it.
- The override applies to first purchases until the Coordinator has 10 active recruits, and then to every purchase. An active recruit is an affiliate the Coordinator brought on who has at least 1 paid referral.
- Overrides are paid two levels deep: level 1 is sales by the Coordinator’s recruits, and level 2 is sales by their recruits. At most two Coordinators are paid on any sale: the nearest two Coordinators above the selling affiliate.
- There is no limit on the number of recruits.
- If a recruit becomes a Coordinator, the recruiting Coordinator keeps its 5% override on that recruit’s sales and also earns 5% on sales by that recruit’s recruits, as level 2.
4.6 Attribution
A recruit joins a Coordinator’s network through the Coordinator’s recruit link. If a recruit signs up without the recruit link, the Coordinator code entered at signup is used as a backup. Vanta Trading determines the attribution of all referrals, recruits, and purchases, and may correct any attribution in its reasonable discretion.
4.7 Changes to Rates and Terms
A commission rate Vanta Trading confirmed to Affiliate individually in writing before the Effective Date continues to apply as confirmed. Commission rates, thresholds, and other program terms in this Section 4 may be modified under Section 16.
5. Payment Terms
5.1 Payment Timing and Currency
Commission is paid monthly, NET-15: commission earned in a month is paid 15 days after that month ends, subject to verification and to Section 5.2. Payments are made in USD (by PayPal, Wise, or bank transfer) or in USDT, as chosen by Affiliate. The minimum payout is $20.
5.2 Withholding and Clawbacks
Vanta Trading may withhold, delay, reverse, or claw back payments if:
- Fraud or abuse is suspected
- The referral is refunded, reversed, or charged back
- Affiliate violates this Agreement or Code of Conduct
5.3 Taxes
Affiliate is solely responsible for all taxes, fees, or obligations arising from payments received.
6. Marketing and Promotion Obligations
6.1 Truthful Representation
Affiliate must accurately and truthfully represent Vanta Trading at all times.
6.2 Prohibited Claims
Affiliate shall not:
- Claim or imply guaranteed profits or payouts
- Misrepresent trading risks
- Suggest special treatment, exemptions, or insider access
- Make defamatory or false claims about competitors
- Use misleading, deceptive, or manipulative tactics
6.3 Advertising Restrictions
Paid advertising requires prior written approval. Brand bidding and impersonation are prohibited.
7. Compliance With Laws
Affiliate shall comply with all applicable laws, regulations, and platform policies, including advertising and consumer protection laws.
Affiliate is solely responsible for ensuring compliance in their jurisdiction.
8. Fraud, Abuse, and Prohibited Conduct
The following are strictly prohibited:
- Self-referrals
- Duplicate accounts, including more than one Affiliate account per person
- Fake or incentivized signups without disclosure
- Bot traffic or manipulation
- Cookie stuffing or attribution abuse
- Spam or deceptive marketing practices
Any violation constitutes material breach.
9. Monitoring and Audit Rights
Vanta Trading reserves the right to:
- Monitor Affiliate activity
- Audit referral traffic and conversions
- Request content modifications or removals
Affiliate must cooperate fully and promptly.
10. Termination
10.1 Termination by Company
Vanta Trading may terminate this Agreement at any time, with or without cause, effective immediately.
10.2 Termination by Affiliate
Affiliate may terminate participation at any time by written notice.
10.3 Effect of Termination
Upon termination:
- All promotional activity must cease
- Affiliate links are deactivated
- Unpaid commissions may be forfeited at Company’s discretion
11. Enforcement and Remedies
Vanta Trading may take enforcement actions including:
- Suspension or termination
- Tier downgrade
- Payment forfeiture or clawback
- Permanent ban from the program
Decisions are final and non-appealable.
12. Intellectual Property
Affiliate is granted a limited, revocable, non-exclusive license to use approved Vanta Trading marketing materials solely for promotion under this Agreement.
All intellectual property remains the exclusive property of Vanta Trading.
13. Confidentiality
Affiliate shall not disclose non-public information including internal communications, metrics, or negotiated terms.
This obligation survives termination.
14. Limitation of Liability
To the maximum extent permitted by law, Vanta Trading shall not be liable for any indirect, incidental, consequential, or punitive damages arising from this Agreement.
15. Indemnification
Affiliate agrees to indemnify and hold harmless Vanta Trading from any claims, damages, losses, or liabilities arising from Affiliate’s conduct, content, or breach of this Agreement.
16. Modification of Agreement
Vanta Trading may modify this Agreement at any time. Continued participation constitutes acceptance of the revised terms.
17. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the applicable jurisdiction determined by Vanta Trading, without regard to conflict of law principles.
18. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions or agreements.
19. Acceptance
By registering for or participating in the Vanta Trading Affiliate / Introducing Broker Program, Affiliate acknowledges and agrees to be bound by this Agreement.
